MC SCOW FLEET #41
CONSTITUTION/BY-LAWS
September 11, 1999


Article 1 - Name, Purpose, and Affiliation

NAME

The name of the organization shall be "MC Scow Fleet #41", herein referred to as "Fleet" or "MC Fleet" or "Fleet #41".

PURPOSE

The Fleet exists to serve as a not for profit cooperative force to support, sponsor, and conduct MC Scow sailboat racing at the local, regional, and national levels.

AFFILIATION

Fleet #41 is affiliated with the International MC Class Sailboat Racing Association, herein referred to as "IMCCSRA", whereas Fleet Charter was established in the year 1991. Location of Fleet #41 shall reside at the Arlington Yacht Club, herein referred to as "AYC", located on Lake Arlington; within the city of Arlington, TX.

 

Article II – Membership and Dues

MEMBERSHIP

Membership in the Fleet shall be restricted to persons owning a bone fide interest in an MC Scow sailboat, meeting requirements of the Fleet’s Constitution/By-Laws, and is a member in good standing of the AYC. Membership further restricts the number of bone fide owners to not more than two per yacht.

Membership in the Fleet shall begin at time of annual Fleet dues acceptance by the Secretary/Treasurer. Fleet membership shall be surrendered at the time AYC or Fleet dues lapse, in the event of loss off a bone fide interest in an MC Scow sailboat, or by 2/3 vote of all Fleet members in good standing.

Current membership with IMCCSRA is required of any MC Fleet #41 member, beginning with the calendar year following accepted membership into the Fleet. IMCCSRA dues may be paid either through the Fleet Secretary/Treasurer, or directly with IMCCSRA’s National Secretary/Treasurer.

 

 

PROVISIONAL MEMBERSHIP

Provisional membership shall be made available to persons showing interest in gaining a bone fide interest in an MC Scow sailboat; however, may be revoked by the Officers of the Fleet if a bone fide interest is not gained within 90 days of provisional membership being granted.

IMCCSRA REGULATIONS

Each Fleet member’s yacht shall comply with the rules and regulations set forth by IMCCSRA’s Article 9 (Specification of Yacht) as defined in the By-Laws of IMCCSRA to become and remain eligible for Fleet #41 membership.

DUES

Annual dues shall be determined and approved by the Fleet’s general membership. Dues shall be accepted by the Fleet Secretary/Treasurer within a reasonable time period prior to the start of the Fleet’s fiscal year beginning with the installation of new Officers at the Annual Meeting.

At no time shall dues be refunded to any member, provisional or regular, regardless of reason for termination, revocation, or resignation of membership from the Fleet.

Article III - Officers

OFFICERS

Elected officers of the MC Fleet #41 shall include the following.

The length of term for each office shall be one year in duration, to begin at the conclusion of the Annual Meeting.

Any member of the MC Fleet #41 in good standing may serve as an Officer of the Fleet. Nomination of officers shall be submitted by any Fleet member to the Secretary/Treasurer. Nominations shall be presented within a reasonable time period prior to the Elections Meeting, at which time all nominations for each office shall be presented to the full Fleet membership for vote. Members who are unable to attend the meeting may vote by proxy.

Article IV - Meetings and Special Events

SCHEDULED MEETINGS

A minimum of two scheduled general membership meetings of the members of the Fleet shall be conducted each calendar year, defined as follows:

The Fleet Captain shall conduct scheduled meetings, and may form committees to carry out any tasks necessary to complete projects arising from such meetings.

SPECIAL MEETINGS

The Fleet Captain may call a Special Meeting of the general membership for discussion and/or vote on any item only by written or confirmed email "Notice of Special Meeting" to all Fleet members in good standing. Notices for Special Meetings including items for vote shall be delivered at least 14 days prior to the scheduled Special Meeting. The Fleet Captain shall not deny any request by ½ of Fleet members to call a Special Meeting. Agenda items not presented to members at time of Notice shall not be considered for vote.

REGATTAS

The Fleet shall endeavor to present a minimum of one MC class only sailboat regatta per year, open to any owner within or outside the AYC, officially referred to as the "MC Scow Texas State Championship Regatta". The dates of the regatta shall not conflict with other local MC Class only sailboat regattas.

It shall be the responsibility of the Fleet Captain to submit proposed regatta dates to the AYC’s Board of Directors for approval. At no time shall the Fleet present a regatta to be held on the premises of the AYC without AYC Board of Director approval.

Any AYC member with a bone fide interest in an MC Scow shall be a current member of the Fleet to sail in "MC Scow Texas State Championship Regatta." Provisions shall be made for AYC members with a bone fide interest in an MC Scow to join the Fleet and pay Fleet dues at time of regatta registration.

 

Article V – Amendments, Solvency

AMENDMENTS TO THE CONSTITUTION/BY-LAWS
The Constitution/By-Laws shall only be amended by 2/3 majority vote of Fleet members in good standing, present at the Elections Meeting or a Special Meeting called by the Fleet Captain. Agenda items not presented to Fleet members within Notice of Elections or Special Meeting shall not be considered for vote.

SOLVENCY
If at any time the Fleet shall cease to exist in the absence of members to support its Constitution/By-Laws, all assets and property owned by the Fleet shall be remitted to IMCCSRA. Solvency shall be determined only be member(s) in good standing if the situation evolves, approved by 2/3 vote.
